The Act is scheduled to come into force on January 1, 2023. <span class=\"NormalTextRun SCXW258839906 BCX0\">This column deals more specifically with the situation of non-Canadians who signed a promise to <\/span><span class=\"NormalTextRun SCXW258839906 BCX0\">purchase<\/span><span class=\"NormalTextRun SCXW258839906 BCX0\"> before this date but whose sale is planned afterwards. However, the Act was not adopted until much later, with more specific wording.<\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c41f980 elementor-widget elementor-widget-text-editor\" data-id=\"c41f980\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<div><b><span lang=\"EN-CA\">The Liberal Party website states<\/span><\/b><span style=\"color: var( --e-global-color-text ); font-family: var( --e-global-typography-text-font-family ), Sans-serif; font-size: var( --e-global-typography-text-font-size );\">\u00b2<\/span><b style=\"color: var( --e-global-color-text ); font-family: var( --e-global-typography-text-font-family ), Sans-serif; font-size: var( --e-global-typography-text-font-size );\">\u00a0:\u00a0<\/b><\/div>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0986a2e elementor-widget elementor-widget-text-editor\" data-id=\"0986a2e\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<div><span lang=\"EN-US\">&#8221; <em>As a temporary measure to help stabilize the housing market coming out of COVID-19, we will ban foreign money from purchasing a non-recreational, residential property in Canada for the next two years, unless this purchase is confirmed to be for future employment or immigration in the next two years. This will also allow us to work with provinces and municipalities to develop a framework to better regulate the role of foreign buyers in the Canadian housing market so that this money does not deter housing from being available for and used by Canadians<\/em> &#8220;.<\/span><\/div>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f008cf1 elementor-widget elementor-widget-text-editor\" data-id=\"f008cf1\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<div><b><span lang=\"EN-CA\">A consultation was launched on the implementing regulation (&#8220;By-law&#8221;) of the Act. It is now closed. The consultation document states in part<\/span><\/b><span style=\"color: var( --e-global-color-text ); font-family: var( --e-global-typography-text-font-family ), Sans-serif; font-size: var( --e-global-typography-text-font-size );\">\u2074<\/span><b style=\"color: var( --e-global-color-text ); font-family: var( --e-global-typography-text-font-family ), Sans-serif; font-size: var( --e-global-typography-text-font-size );\">\u00a0:\u00a0<\/b><\/div>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5110f43 elementor-widget elementor-widget-text-editor\" data-id=\"5110f43\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\">The Act provides that the By-law may prescribe what constitutes a <em>&#8220;purchase&#8221; <\/em>for the purposes of the prohibition, as well as define the term <em>&#8220;contract&#8221;. <\/em>The Act also allows the By-law to further prescribe what constitutes a &#8220;<em>non-Canadian<\/em>&#8220;. The definition of these concepts is necessary to clarify the scope of the prohibition, including its application to purchases of residential real property made through structures such as corporations, trusts and other entities.<\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-3cf0dc8 elementor-widget elementor-widget-heading\" data-id=\"3cf0dc8\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">The notion of \"purchase\u201d<\/h2>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f7222f7 elementor-widget elementor-widget-text-editor\" data-id=\"f7222f7\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\"><em>The Act establishes that the prohibition applies to the purchase of residential real property by non-Canadians, directly or indirectly. The objective of the policy is to establish a comprehensive definition of purchase that reflects the fact that non-Canadians may structure their purchases directly or through vehicles such as corporations, partnerships, trusts or other entities.<\/em><\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d5ea693 elementor-widget elementor-widget-text-editor\" data-id=\"d5ea693\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\"><em><u>The Government also recognizes that there may be certain circumstances arising from transitional or life events where the application of the prohibition could result in undue hardship that is unforeseen or unavoidable. For example, there may be situations where non-Canadians acquire residential real property as a result of unforeseen life events or other arrangements determined before the prohibition comes into effect.<\/u><\/em><\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8563808 elementor-widget elementor-widget-text-editor\" data-id=\"8563808\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<div><i><span lang=\"EN-CA\">The objective of the policy is to avoid arbitrary and undue hardship in the application of the prohibition, while establishing clear and transparent criteria for non-Canadians to assess the application of the prohibition to their circumstances. The Government is seeking comment on a proposal to define the term &#8220;purchase&#8221; as follows:<\/span><\/i><\/div>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ea8bbc0 elementor-widget elementor-widget-text-editor\" data-id=\"ea8bbc0\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<ul><li><em>acquire or grant, conditionally or unconditionally, a legal or equitable interest or real right in residential property, including, in Quebec, a right or co-ownership, superficies, usufruct or emphyteusis.<\/em><\/li><\/ul>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-33f292f elementor-widget elementor-widget-text-editor\" data-id=\"33f292f\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\"><em>The acquisition by a non-Canadian of the contract of a corporation or entity that holds an interest or in Quebec a real right in a residential immovable constitutes a purchase for the purposes of the Act and this Regulation.<\/em><\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2b79097 elementor-widget elementor-widget-text-editor\" data-id=\"2b79097\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\"><strong>A \u201cpurchase\u201d would not include: <\/strong><\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5ae66b9 elementor-widget elementor-widget-text-editor\" data-id=\"5ae66b9\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<ul><li><em>the acquisition by an individual of an interest, or for Quebec, of a real right in real property, arising out of succession (in the form of a will or an estate or by reason of the death of a co-tenant);<\/em><\/li><li><em>the acquisition by an individual of an interest, or for Quebec, a real right in real property, arising from a divorce or separation;<\/em><\/li><li><em>the rental of a dwelling to a tenant for the purpose of occupancy by the tenant;<\/em><\/li><li><em>the transfer of an interest to an individual under the terms of a trust created before the Act came into force;<\/em><\/li><li><em>an order to foreclose a mortgage, charge or lien registered before the prohibition came into force.<\/em><\/li><\/ul>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8638afc elementor-widget elementor-widget-text-editor\" Does it apply to such Contracts?<\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-1fe669e elementor-widget elementor-widget-text-editor\" data-id=\"1fe669e\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\">More broadly, can a preliminary contract entered into after June 23, 2022, give rise to a notarized contract of sale on or after January 1, 2023? This last question is relevant to many real estate developments across Canada.<\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-547622b elementor-widget elementor-widget-text-editor\" data-id=\"547622b\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\">Some express the view that &#8220;<em>If a promise to purchase and a deed of sale are signed before January 1, 2023, the person will not be subject to the prohibition on purchase. But if the promise to purchase is signed before the effective date and the person becomes a homeowner after January 1, 2023, he or she will be subject to the moratorium<\/em> &#8220;.<\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-3e1421d elementor-widget elementor-widget-text-editor\" data-id=\"3e1421d\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<div><span lang=\"EN-CA\">Other publications in the legal community are, incidentally, more nuanced <\/span> \u2079\u00a0<span style=\"font-size: 1rem;\">and even to the contrary<\/span>\u00b9\u2070.<\/div><p style=\"font-weight: 400;\">Several of them argue that the exemption provided for in section 4 (5) of the Act is such as to exclude Contracts and generally any preliminary contract concluded before its entry into force even if the sale itself is to be notarized or otherwise formalized during the moratorium period.<\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-61dc961 elementor-widget elementor-widget-text-editor\" data-id=\"61dc961\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\"><strong>There was therefore a controversy in the legal community, which could have been resolved by the publication of the By-law. <\/strong><\/p><p style=\"font-weight: 400;\"><strong>Failing to do so, these issues have been brought to the attention of the Superior Court <span class=\"NormalTextRun SCXW70463995 BCX0\">of a <\/span><span class=\"NormalTextRun SpellingErrorV2Themed SCXW70463995 BCX0\">declaratory<\/span> <span class=\"NormalTextRun SpellingErrorV2Themed SpellingErrorHighlight SCXW70463995 BCX0\">judgment<\/span> <span class=\"NormalTextRun SpellingErrorV2Themed SCXW70463995 BCX0\">procedure.<\/span><\/strong><\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c2f1122 elementor-widget elementor-widget-spacer\" data-id=\"c2f1122\" data-element_type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ed59699 elementor-widget elementor-widget-heading\" data-id=\"ed59699\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">OPINION<\/h2>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-36eae1c elementor-widget elementor-widget-text-editor\" data-id=\"36eae1c\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\">The Act is unambiguous when it states in section 4 that:<\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-43139d8 elementor-widget elementor-widget-text-editor\" data-id=\"43139d8\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\"><em>&#8220;(1) Despite section 34 of the Citizenship Act, <u>it is prohibited for a non-Canadian to purchase, directly or indirectly, any residential property,&#8221; subject to &#8220;(3) &#8230; prescribed conditions<\/u>.<\/em>&#8221; (Emphasis added)<\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-40a17eb elementor-widget elementor-widget-text-editor\" data-id=\"40a17eb\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\"><strong>Thus, even an indirect purchase through a corporation controlled by a non-Canadian is subject to this.<\/strong><\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f6e3ed2 elementor-widget elementor-widget-spacer\" data-id=\"f6e3ed2\" data-element_type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-fd857b1 elementor-widget elementor-widget-heading\" data-id=\"fd857b1\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">EXEMPTION<\/h2>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0c882a8 elementor-widget elementor-widget-text-editor\" data-id=\"0c882a8\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<div><span lang=\"EN-CA\">Paragraph 5 of the same article 4 is worth noting. It reads as follows:<\/span><\/div>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f3e0b51 elementor-widget elementor-widget-text-editor\" data-id=\"f3e0b51\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\"><strong>&#8220;Non-application<\/strong><\/p><p style=\"font-weight: 400;\">(5) Subsection (1) <u>does not apply if the non-Canadian becomes liable or assumes liability under an agreement of purchase and sale of the residential property before the day on which this<\/u> Act comes into force.\u00bb (Emphasis added)<\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e4954f8 elementor-widget elementor-widget-text-editor\" data-id=\"e4954f8\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\">The English version of 4(5) refers to an &#8220;<em>agreement of purchase and sale<\/em>&#8220;, which in Common Law means a &#8220;<em>promise to sell<\/em>&#8220;, followed by a &#8220;<em>closing<\/em>&#8220;; the English version thus appears to refer to a <em>promise to sell<\/em>, which is the intended interpretation, and which would give practical meaning to the said subsection 4(5) of the Act.<\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f864a21 elementor-widget elementor-widget-spacer\" data-id=\"f864a21\" data-element_type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a91c37c elementor-widget elementor-widget-heading\" data-id=\"a91c37c\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">ACQUIRED RIGHTS\n<\/h2>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-902dc73 elementor-widget elementor-widget-text-editor\" data-id=\"902dc73\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\">Alternatively, the undersigned submits that the Act would, by its application to Contracts, have the effect of calling into question the rights acquired by both the seller and the promisor-buyer.<\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-928b85c elementor-widget elementor-widget-text-editor\" data-id=\"928b85c\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\">In this respect, the Act contains no indication as to its application in time other than to indicate that it will come into force on January 1, 2023, and that it will be repealed two years later.<\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c4c02bf elementor-widget elementor-widget-text-editor\" data-id=\"c4c02bf\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p><span lang=\"EN-CA\">It should be noted that the Contracts were entered into prior to the Act being assented to and that at that time the Citizenship Act prevailed<\/span><i> <\/i><span style=\"color: var( --e-global-color-text ); font-family: var( --e-global-typography-text-font-family ), Sans-serif; font-size: var( --e-global-typography-text-font-size );\">\u00b9\u00b2<\/span><span style=\"font-size: 1rem;\">, and still prevails as of the date hereof, which states as follows:<\/span><\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-25232a9 elementor-widget elementor-widget-text-editor\" data-id=\"25232a9\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\">&#8221; <strong><em>Rights<\/em><\/strong><\/p><p style=\"font-weight: 400;\"><strong><em>34 <\/em><\/strong><em>Subject to section 35:<\/em><\/p><p style=\"font-weight: 400;\"><em>(a) <u>a non-citizen may acquire, hold or dispose of real or personal property of any kind in the same manner as a citizen<\/u>; <\/em><\/p><p style=\"font-weight: 400;\"><em>(b) a non-citizen may convey title to real or personal property of any kind directly, or through an intermediary, or by succession, in the same manner as a citizen.<\/em><\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7b956b9 elementor-widget elementor-widget-text-editor\" data-id=\"7b956b9\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\"><strong>Prohibition or limitation towards non-Canadians <\/strong><\/p><p style=\"font-weight: 400;\"><em>\u00a0<\/em><strong><em>35 <\/em><\/strong><em>(1) <u>The Lieutenant Governor in Council of a province<\/u>, or a person or authority designated by the Lieutenant Governor in Council, may, subject to subsection (3), prohibit, annul, or restrict in any manner the direct or indirect acquisition by non-citizens, or by corporations or associations that are in fact controlled by non-citizens, of interests in real property in the province.<\/em><\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7d96b58 elementor-widget elementor-widget-text-editor\" data-id=\"7d96b58\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\"><strong><em>Regulations <\/em><\/strong><\/p><p style=\"font-weight: 400;\"><em>(2) The Lieutenant Governor in Council may make regulations defining: <\/em><\/p><p style=\"font-weight: 400;\"><em>(a) transactions that constitute an acquisition, directly or indirectly, of interests in real property in the province; <\/em><em>\u00a0<\/em><\/p><p style=\"font-weight: 400;\"><em>(b) what constitutes a body corporate or association in fact controlled by non-citizens;<\/em><\/p><p style=\"font-weight: 400;\"><em>(c) the concept of association.<\/em><\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c8a1160 elementor-widget elementor-widget-text-editor\" data-id=\"c8a1160\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\"><strong><em>Reserve <\/em><\/strong><\/p><p style=\"font-weight: 400;\"><em>(3) Nothing in subsections (1) and (2) authorizes the Lieutenant Governor in Council, or a person or authority designated by the Lieutenant Governor in Council, to make decisions or take action to: <\/em><\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-094388f elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"094388f\" data-element_type=\"section\" data-settings=\"{&quot;jet_parallax_layout_list&quot;:[]}\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t\t\t<div class=\"elementor-row\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-5327e01\" data-id=\"5327e01\" data-element_type=\"column\">\n\t\t\t<div class=\"elementor-column-wrap elementor-element-populated\">\n\t\t\t\t\t\t\t<div class=\"elementor-widget-wrap\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-0a1e547 elementor-widget elementor-widget-text-editor\" data-id=\"0a1e547\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\"><em>(a) apply real property restrictions to permanent residents as defined in subsection 2(1) of the Immigration and Refugee Protection Act;<\/em><\/p><p style=\"font-weight: 400;\"><em>(b) obstruct the enforcement of any international obligation imposed on Canada by law, custom or convention;<\/em><\/p><p style=\"font-weight: 400;\"><em>(c) discriminate between non-citizens on the basis of nationality, except where Canada&#8217;s international obligations under law, custom or convention require preferential treatment of non-citizens;<\/em><\/p><p style=\"font-weight: 400;\"><em>(d) prevent any foreign state from acquiring real property situated in a province for diplomatic or consular use;<\/em><\/p><p style=\"font-weight: 400;\"><em>(e) apply the real property restrictions to investments in respect of which the Minister is of the opinion, or is deemed to be of the opinion under the Investment Canada Act, that they are likely to be of net benefit to Canada. (Emphasis added)<\/em><\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"elementor-section elementor-top-section elementor-element elementor-element-8ec58e3 elementor-section-boxed elementor-section-height-default elementor-section-height-default\" data-id=\"8ec58e3\" data-element_type=\"section\" data-settings=\"{&quot;jet_parallax_layout_list&quot;:[]}\">\n\t\t\t\t\t\t<div class=\"elementor-container elementor-column-gap-default\">\n\t\t\t\t\t\t\t<div class=\"elementor-row\">\n\t\t\t\t\t<div class=\"elementor-column elementor-col-100 elementor-top-column elementor-element elementor-element-976ef75\" data-id=\"976ef75\" data-element_type=\"column\">\n\t\t\t<div class=\"elementor-column-wrap elementor-element-populated\">\n\t\t\t\t\t\t\t<div class=\"elementor-widget-wrap\">\n\t\t\t\t\t\t<div class=\"elementor-element elementor-element-45723a8 elementor-widget elementor-widget-text-editor\" data-id=\"45723a8\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<div><span lang=\"EN-CA\">This law is not, however, formally constitutive of rights, but rather permissive, as explained by the Supreme Court of Canada in <i>Morgan v. Attorney General of Prince Edward Island<\/i><\/span><span style=\"color: var( --e-global-color-text ); font-family: var( --e-global-typography-text-font-family ), Sans-serif; font-size: var( --e-global-typography-text-font-size );\">\u00b9\u00b3<\/span><span style=\"color: var( --e-global-color-text ); font-family: var( --e-global-typography-text-font-family ), Sans-serif; font-size: var( --e-global-typography-text-font-size );\">.<\/span>\u00a0<\/div>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-32550f9 elementor-widget elementor-widget-text-editor\" data-id=\"32550f9\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\">On the other hand, it is undeniable that the application of the Act to the Contracts would call into question the rights resulting therefrom, which would, in the opinion of the Plaintiff, contradict the principle of respect for acquired rights.\u00a0<\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-213c5b7 elementor-widget elementor-widget-text-editor\" data-id=\"213c5b7\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p><span lang=\"EN-CA\">The<i> Interpretation Act <\/i><\/span><i> <\/i><span style=\"color: var( --e-global-color-text ); font-family: var( --e-global-typography-text-font-family ), Sans-serif; font-size: var( --e-global-typography-text-font-size );\"><span style=\"color: var( --e-global-color-text ); font-family: var( --e-global-typography-text-font-family ), Sans-serif; font-family: var( --e-global-typography-text-font-family ), Sans-serif; font-size: var( --e-global-typography-text-font-size );\">\u00b9\u2075<\/span><b style=\"color: var( --e-global-color-text ); font-family: var( --e-global-typography-text-font-family ), Sans-serif; font-size: var( --e-global-typography-text-font-size );\">:\u00a0<\/b><\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-dd9afd9 elementor-widget elementor-widget-text-editor\" data-id=\"dd9afd9\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<div><b><i><span lang=\"EN-CA\">380<\/span><\/i><\/b><i><span lang=\"EN-CA\">. &#8220;The answer to this question seems simple in federal matters: the second paragraph of section 2 of the Interpretation Act allows for the consideration, for the application of that Act, that a statute that has ceased to have effect has been repealed. <u>All sections of the Act dealing with the effects of repeal should therefore apply in principle where an enactment ceases to have effect by reason of the paramountcy of another enactment<\/u>. Quebec (Attorney General of Quebec)<\/span><\/b><b><span lang=\"EN-CA\">\u00b9\u2076<\/span><\/b><b><\/b><b style=\"color: var( --e-global-color-text ); font-family: var( --e-global-typography-text-font-family ), Sans-serif; font-size: var( --e-global-typography-text-font-size );\"><b style=\"color: var( --e-global-color-text ); font-family: var( --e-global-typography-text-font-family ), Sans-serif; font-size: var( --e-global-typography-text-font-size );\">,\u00a0<\/b><\/b><b style=\"font-size: 1rem;\"><span lang=\"EN-CA\">the Supreme Court of Canada stated as follows:<\/span><\/b><\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-1e18118 elementor-widget elementor-widget-text-editor\" data-id=\"1e18118\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<div title=\"Page 17\"><div><div><div><p>\u00ab <em>The principle against interference with vested rights has long been accepted in Canadian law. It is one of the many intentions attributed to Parliament and the provincial legislatures. [&#8230;]\u00a0<\/em><em style=\"color: var( --e-global-color-text ); font-family: var( --e-global-typography-text-font-family ), Sans-serif; font-size: var( --e-global-typography-text-font-size );\">The leading case on this presumption is Spooner Oils Ltd. v. Turner Valley Gas Conservation Board, [1933] S.C.R. 629, at p. 638, where this Court stated the principle in the following terms:<\/em><\/p><div class=\"page\" title=\"Page 18\"><div class=\"section\"><div class=\"layoutArea\"><div class=\"column\"><p><em>A legislative enactment is not to be read as prejudicially affecting accrued rights, or \u201can existing status\u201d (Main v. Stark [(1890), 15 App. Cas. 384, at 388]), unless the language in which it is expressed requires such a con- struction. <u>The rule is described by Coke as a \u201claw of Parliament\u201d (2 Inst. 292), meaning, no doubt, that it is a rule based on the practice of Parliament; the underlying assumption being that, when Parliament intends preju- dicially to affect such rights or such a status, it declares its intention expressly, unless, at all events, that inten- tion is plainly manifested by unavoidable inference<\/u><\/em> \u00bb.<\/p><\/div><\/div><\/div><\/div><\/div><\/div><\/div><\/div>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2e74177 elementor-widget elementor-widget-text-editor\" data-id=\"2e74177\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\">In this regard, and despite the language of s. 4(5) of the Act, it should not apply to contractual obligations arising or assumed before the Act came into force.<\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-57d6147 elementor-widget elementor-widget-text-editor\" data-id=\"57d6147\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p style=\"font-weight: 400;\">The Act cannot have the effect of so heavily interfering with acquired or accrued rights, including the seller&#8217;s right to dispose of their property and to repay their construction loan with the proceeds of the sale or sales.<\/p>\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-79bb4d8 elementor-widget elementor-widget-heading\" data-id=\"79bb4d8\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\"><a href=\"https:\/\/www.djclegal.com\/wp-content\/uploads\/2023\/04\/4868-9989-6147-Jugement-signe-500-17-123410-220_2023-01-31-225.pdf\" target=\"_blank\">VERDICT MADE<\/a><\/h2>\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c526ffd elementor-widget elementor-widget-text-editor\" data-id=\"c526ffd\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t<div class=\"elementor-text-editor elementor-clearfix\">\n\t\t\t\t<p><span data-contrast=\"none\">On January 31, 2023, the Honourable Sylvain Lussier, J.S.C. rendered <a href=\"https:\/\/www.djclegal.com\/wp-content\/uploads\/2023\/04\/4868-9989-6147-Jugement-signe-500-17-123410-220_2023-01-31-225.pdf\" target=\"_blank\" rel=\"noopener\">a verdict<\/a> holding that &#8220;by virtue of the exemption provided for in subsection 4(5) of the Act respecting the Prohibition on the Purchase of Residential Property by non-Canadians Act, the prohibition on the purchase of any residential real estate by any non-Canadian provided for in subsection 4(1) of the Act respecting the Prohibition on the Purchase of Residential Property by non-Canadians does not apply to a sale resulting from a promise to purchase and sell made by a non-Canadian prior to January 1, 2023.<\/span><span data-ccp-props=\"{&quot;134233117&quot;:true,&quot;134233118&quot;:true,&quot;201341983&quot;:0,&quot;335559739&quot;:160,&quot;335559740&quot;:240}\">\u00a0<\/span><\/p><p><span data-contrast=\"none\">This ruling was made in the context of a particular development project for which DJC represented the developer.
